Terms & Conditions
1. Services Provided
AURA DIGITAL AGENCY (PVT) Ltd (“AURA”) offers a range of services, including digital marketing, graphic design, executive assistants & strategic coaching assistance, video editing, GoHighLevel (GHL) setup and management, and related services as detailed in the project proposal (“Services”).
2. Payment Terms
- Payments are due according to the agreed-upon schedule in your proposal.
- Late payments may incur a 10% late fee per month.
- AURA reserves the right to pause or terminate services if payments are not received on time.
3. Project Timelines & Revisions
- Project timelines are estimates and will be clearly outlined in your agreement.
- Delays caused by the Client’s failure to provide materials or feedback in a timely manner may impact the timeline and may result in additional fees.
- A set number of revisions is included in your project agreement. Additional revisions may be subject to extra charges.
4. Client Responsibilities
- You are responsible for providing all necessary materials, content, and information required for the completion of the project in a timely manner (within 5 business days of request).
- Your timely feedback and approvals are essential for meeting project deadlines. Any delays on your part may impact the project timeline and could result in additional charges.
5. Ownership & Confidentiality
- Upon full payment, you own the final deliverables.
- AURA retains the right to use the completed project for promotional purposes unless agreed otherwise in writing.
- Both parties will maintain the confidentiality of proprietary information shared during the project. This obligation survives the termination of this agreement for a period of 1 year.
6. Termination & Refunds
- Either party can terminate the agreement with 30 days’ written notice after the initial 4-month period.
- In the event of early termination by the Client, AURA retains the right to an early termination fee equivalent to the initial payment, unless the termination is due to AURA’s breach of contract or willful misconduct.
- Refunds, if any, will be based on the work completed up to the termination date, minus any non-refundable expenses AURA has incurred.
7. Limitation of Liability
- AURA is not liable for any indirect, incidental, or consequential damages arising from the services, to the extent permitted by law.
- AURA’s total liability is limited to the amount you’ve paid for the services rendered, except in cases of gross negligence or willful misconduct.
8. Communication
- By providing your phone number, you consent to receive project-related text messages from AURA. Standard messaging rates may apply.
9. Non-Solicitation
- You agree not to solicit AURA’s employees, affiliates, or contractors for a period of 12 months from the agreement start date.
- Violation of this clause may result in a minimum fine of $5,000.
9. Non-Solicitation
- Disputes will be resolved through binding arbitration, preferably using the rules of arbitration of [Your Country] or Pakistan. If the parties cannot agree on the applicable rules, the American Arbitration Association (AAA) rules will be used as a fallback.
- The arbitration will be held remotely via Zoom with [Your Country] as the legal seat.
11. Governing Law
- These terms are governed by the laws of Pakistan.
12. Amendments
- AURA may amend these terms with 30 days’ written notice. Your continued use of the Services after the notice period constitutes acceptance of the amended terms.
13. Warranty and Quality of Work
- AURA will perform all services with reasonable care, skill, and diligence, aiming to meet industry standards.
- Any dissatisfaction with the quality of work must be communicated to AURA in writing within 14 days of delivery of the Services. AURA will have a reasonable opportunity (14 days) to rectify any issues before termination is considered.
By agreeing to these terms, you confirm that you have read, understood, and accepted them.
